1. Acceptance of Terms

By accessing and using the Racketa Application ("the Application," "Platform," "we," "us," "our," or "Company"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). These Terms constitute a binding contract between you and Racketa. If you do not agree to these Terms, you must not use the Application. By using the Application, you acknowledge that you are at least 18 years old (or have parental consent if between 13-18) and capable of entering into a legal agreement.

2. Definitions

• "User": Any individual who accesses or uses the Application
• "Club": An organization created by Users to coordinate badminton activities
• "Coach": A certified professional providing badminton training services
• "Tournament": An organized badminton competition facilitated by the Platform
• "Content": Any material posted by Users, including text, images, and videos
• "Services": All services offered through the Application

3. Use License and Restrictions

3.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for personal, non-commercial purposes in accordance with these Terms.

3.2 Prohibited Uses

You agree NOT to:

• Reproduce, duplicate, or copy content for commercial purposes without authorization
• Modify or reverse-engineer the Application or its source code
• Use the Application for fraudulent, illegal, or unauthorized purposes
• Transmit viruses, malware, or any harmful code
• Engage in harassment, bullying, or abusive behavior toward other Users
• Spam, phishing, or attempt unauthorized access to accounts
• Post false information, impersonate others, or misrepresent identity
• Violate any applicable Philippine laws and regulations
• Infringe upon intellectual property rights of others
• Conduct automated data scraping or excessive requests to the server

4. User Accounts and Registration

4.1 Account Creation

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your password and account.

4.2 Account Security

You agree to:

• Use a strong password and change it regularly
• Not share your account credentials with others
• Notify us immediately of unauthorized access
• Log out after each session on shared devices
• Provide accurate, current contact information

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in misconduct. You may request account deletion by contacting our support team.

5. User-Generated Content

5.1 Your Content

You retain ownership of content you create. However, by posting content on the Platform, you grant Racketa a worldwide, royalty-free, perpetual license to use, display, and distribute your content for promotional and operational purposes.

5.2 Content Responsibility

You are solely responsible for content you post and agree that:

• All content must be accurate, truthful, and lawful
• You have necessary rights and permissions to post the content
• Content does not violate anyone's rights or these Terms
• You will not post explicit, abusive, or defamatory content

5.3 Content Moderation

We may remove content that violates these Terms or applicable laws. We are not liable for User-generated content and reserve the right to moderate or delete inappropriate material.

6. Payments and Transactions

6.1 Payment Terms

Payment for services (court bookings, tournament entries, coaching, merchandise) is due upon completion of the transaction unless otherwise specified. All prices are in Philippine Pesos (PHP) unless stated otherwise.

6.2 Payment Methods

We accept various payment methods including credit/debit cards, e-wallets, and bank transfers. All payments are processed securely through PCI DSS-compliant third-party processors. Racketa does not store full payment card information.

6.3 Refund and Cancellation Policy

• Tournament Cancellations: Full refund if cancelled by Racketa; 80% refund if User cancels 7 days before event
• Court Bookings: Full refund if cancelled 48 hours before booking; no refund for late cancellations
• Coaching Sessions: Full refund if cancelled 24 hours before session
• Merchandise: Returns accepted within 30 days in original condition; refund processing takes 5-7 business days

6.4 Billing Disputes

You must report billing disputes within 30 days of the transaction. Provide transaction details and proof of the disputed charge. We will investigate and respond within 14 days.

7. Clubs and Organizations

7.1 Club Creation

Users may create clubs to organize badminton activities. Club creators must provide accurate information and comply with applicable laws. Racketa reserves the right to remove clubs that violate these Terms.

7.2 Club Membership

Joining a club is voluntary. Club administrators may set membership fees, rules, and requirements. Racketa is not responsible for club-specific policies or disputes between club members and administrators.

7.3 Club Liability

Racketa is not responsible for club activities, coaching quality, court conditions, or disputes arising from club participation. Users participate at their own risk.

8. Coach Verification and Services

8.1 Coach Registration

Coaches must provide valid credentials and certifications. We conduct basic verification but do not guarantee coach qualifications. Users should independently verify coach credentials.

8.2 Training Responsibility

Coaching services and training activities involve inherent risk of injury. Users assume all risks and should consult healthcare providers before starting intensive training. Coaches are responsible for ensuring safe training practices.

8.3 Disputes

Disputes between coaches and users regarding service quality or performance should be reported within 7 days of the incident. Racketa will attempt mediation but is not responsible for resolving private service disagreements.

9. Tournaments and Competitions

9.1 Tournament Terms

• Tournament participation constitutes acceptance of tournament-specific rules
• Participants must meet eligibility requirements (age, skill level, membership)
• Entry fees are non-refundable except under circumstances specified in Section 6.3
• Participants must follow competition rules and sportsmanship guidelines

9.2 Liability Waiver

Tournament participation involves physical activity and inherent risk of injury or property damage. Participants waive claims against Racketa and tournament organizers for injuries sustained during competition, except in cases of gross negligence or willful misconduct.

9.3 Disqualification

Tournament organizers may disqualify participants for rule violations, unsportsmanlike conduct, or use of prohibited equipment. No refund is provided for disqualifications.

10. Intellectual Property Rights

10.1 Platform Ownership

Racketa owns or licenses all content, features, and functionality of the Application, including but not limited to software, design, graphics, and trademarks.

10.2 Prohibited Uses

You may not reproduce, distribute, modify, or create derivative works from our intellectual property without written permission. Unauthorized use may violate Philippine intellectual property laws.

10.3 User License

Trademarks, logos, and service marks displayed on the Application are the property of Racketa or their respective owners. Unauthorized use is prohibited.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER PHILIPPINE LAW:

• Racketa shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Application
• Our total liability for direct damages shall not exceed the amount you paid for the relevant service in the past 12 months
• We are not responsible for third-party services, content, or actions of other Users
• Racketa is not liable for service interruptions, data loss, or technical issues beyond our control

12. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, THE APPLICATION AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

Racketa DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free service
• Absence of viruses or harmful components

13. Indemnification

You agree to indemnify, defend, and hold harmless Racketa and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of applicable laws
• Your use of the Application
• User-generated content you post
• Your infringement of others' rights
• Disputes with other Users

14. Third-Party Links and Services

The Application may contain links to third-party websites and services. We are not responsible for their content, accuracy, or practices. Use third-party services at your own risk and review their terms separately.

15. Changes and Modifications

We reserve the right to modify these Terms, services, or features at any time. Material changes will be communicated via email or prominent notification. Continued use constitutes acceptance of changes. If you disagree with modifications, discontinue using the Application.

16. Termination

Racketa may terminate or suspend your access immediately for violations of these Terms or applicable laws. Sections regarding liability limitations, indemnification, and dispute resolution shall survive termination.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflicts of law principles.

17.2 Mediation and Arbitration

Before pursuing litigation, the parties agree to attempt resolution through good-faith negotiation and mediation. If mediation fails, disputes shall be resolved through binding arbitration in accordance with Philippine Arbitration Law (R.A. 9285) administered by the Philippine Dispute Resolution Center (PDRC) or similar arbitration body.

17.3 Exclusive Jurisdiction

Both parties irrevocably consent to the exclusive jurisdiction of Philippine courts for any legal proceedings not subject to arbitration.

17.4 Class Action Waiver

You agree that any arbitration or legal action shall be on an individual basis, not class action or representative action.

Racketa complies with all applicable Philippine laws including:

• Data Privacy Act of 2012 (R.A. 10173)
• Consumer Act of the Philippines (R.A. 7394)
• E-Commerce Law (R.A. 8792)
• National Identification System Law (R.A. 11055)
• All applicable local and national regulations

20. Severability

If any provision of these Terms is found to be invalid or unenforceable under Philippine law, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms and Conditions, along with our Privacy Policy and any other terms posted on the Application, constitute the entire agreement between you and Racketa regarding your use of the Application and supersede all prior negotiations, understandings, and agreements.
